Key points

This summary is for convenience. The full terms below are what apply.

  • You buy a perpetual licence. You can use the software for as long as you like.
  • One licence lets one person install and use it on up to two machines.
  • You can use it for personal or commercial work, including work for clients.
  • You must not share, resell or copy it, or get round the licence checks.
  • The free trial adds a watermark to output. Buying a licence removes it.
  • My liability is limited as set out in section 10. Please keep backups of your projects.
  • English law applies.

1. About these terms

1.1

These terms are an agreement between you and me, Phil Bearman, trading as Phil Bearman Creative Media Solutions, of Unit A Aldow Enterprise Park, Blackett Street, Manchester M12 6AE, United Kingdom. I am a sole trader. In these terms, “I” and “me” mean me, and “you” means the person or business that buys or uses the Software.

1.2

They cover every plugin I sell for Adobe After Effects, including updates and the free trial. I call these “the Software”.

1.3

By buying a licence, or by downloading, installing or using the Software, you agree to these terms. If you do not agree, please do not use the Software.

1.4

If you are buying for a business, you confirm that you can agree to these terms on its behalf.

2. Words I use

2.1

Licence key means the code I send you to activate the Software.

2.2

Machine means one computer, including any virtual machine running on it.

2.3

Consumer means an individual who buys the Software for purposes mostly outside their trade, business, craft or profession. Anyone else is a business customer. Freelancers buying for their work are business customers.

2.4

After Effects means Adobe After Effects. Adobe owns it and licenses it to you separately.

3. Your licence

3.1

When you pay, I give you a licence to install and use the Software. The licence is:

  1. perpetual: it has no end date, unless it is ended under section 8;
  2. personal to you, so you cannot transfer or resell it;
  3. non-exclusive: I can license the Software to others; and
  4. worldwide.

3.2

One licence covers installation on up to two Machines that you own or control. Only one person may use the Software under a licence. If you are a business customer, that person must be a named individual. If more people need the Software, each needs their own licence.

3.3

You can use the Software for personal or commercial work, including work for clients. You own the output you create with it. I claim no rights in your work.

3.4

You can make one backup copy of the Software, and any copies needed to install it on your two Machines.

3.5

If you need to move the Software to a new Machine, deactivate it on the old one. If you cannot, contact me and I will reset your activation within a reasonable time.

3.6

The Software only works inside After Effects. I do not supply After Effects, and you need your own licence from Adobe. I am not connected to Adobe. I cannot promise that the Software will work with every version of After Effects or every computer setup.

4. What you must not do

4.1

You must not:

  1. share your licence key, or let anyone else use the Software under your licence;
  2. install the Software on more than two Machines;
  3. copy, sell, rent, lend, sub-license or distribute the Software or your licence key;
  4. reverse-engineer, decompile or change the Software, except where the law gives you that right and I cannot take it away;
  5. remove or bypass any licence check, watermark or copyright notice; or
  6. use the Software to break the law or anyone else’s rights.

4.2

The Software, including its copyright, belongs to me or my licensors. You are buying a licence to use it, not the Software itself.

5. Free trial

5.1

The free trial has no time limit. Output made with the trial carries a watermark.

5.2

You must not remove, hide or edit out the watermark. To create output without it, you need to buy a licence.

5.3

The trial is free, so I provide it “as is”. To the fullest extent the law allows, I give no promises about it and accept no liability for it. Section 10.1 still applies.

5.4

I may change or withdraw the trial at any time. You do not need to use the trial before you buy.

6. Price, payment and delivery

6.1

The price is shown at checkout.

6.2

After payment, you will be able to retrieve your licence key from https://philbearman.co.uk/my-account/licences/

6.3

Payments are handled by Paypal. I do not see or store your card details.

7. Updates and support

7.1

Your licence includes free updates for the current major version. The major version is the first number in the version number (for example, version 2.x). I may charge for an upgrade to a new major version. I will tell you the price before you buy it, and your existing licence will keep working.

7.2

I will try to keep the Software working with current versions of After Effects. I cannot promise to support future versions of After Effects or of your operating system.

7.3

For support, use the contact details shown on https://philbearman.co.uk/shop/support/ . I will use reasonable efforts to reply within 2 working days.

7.4

If I stop selling or supporting the Software, I will make sure that existing licences can still be activated, or give you another way to keep using the Software.

8. Ending the licence

8.1

Your licence continues until it is ended under this section.

8.2

I can end your licence by written notice if you seriously break these terms, for example by sharing your licence key, exceeding the two-Machine limit, or bypassing a licence check. If the breach can be put right, I will first give you 14 days to do so. If I end your licence for this reason, you will not get a refund.

8.3

You can stop using the Software at any time. You will not get a refund unless section 9 says so.

8.4

When a licence ends, you must uninstall the Software and delete all copies, and I may deactivate your licence key. You keep ownership of any output you created. Sections 4.2, 10 and 14 continue to apply after the licence ends.

9. Refunds and your legal rights

9.1

Consumers. You have a legal right to cancel within 14 days of buying and get a refund, for any reason.

9.2

However, the Software is digital content that I deliver straight away. At checkout I will ask you to (a) ask me to deliver it immediately, and (b) confirm that you understand you lose your right to cancel once I have delivered your licence key. If you agree, the 14-day right to cancel ends at that point. The free trial lets you test the Software before you buy.

9.3

Business customers. You have no legal right to cancel. I do not give refunds unless the law requires it or I decide to as a gesture of goodwill.

9.4

If something is wrong. If the Software is faulty, not as described, or not fit for its purpose, please contact me first so I can put it right. Consumers also have legal rights under the Consumer Rights Act 2015, including repair or replacement, and a price reduction or refund in some cases. Nothing in these terms limits those rights.

9.5

Business customers. If the Software has a fault, tell me and I will try to fix it within a reasonable time. If I cannot, I will refund the price you paid for that Software.

10. My responsibility

10.1

Nothing in these terms limits or excludes my liability for: death or personal injury caused by my negligence; fraud or fraudulent misrepresentation; or anything else the law does not allow me to limit or exclude. Nothing in these terms affects a consumer’s legal rights.

10.2

The Software is complex and runs inside another program. I take reasonable care, but I cannot promise that it will be free of errors, work without interruption, or work with every setup, version or other plugin. If you are a business customer, then to the extent the law allows, I exclude all promises and terms that are not set out here, including implied terms about satisfactory quality and fitness for a particular purpose.

10.3

Consumers. If I break these terms or am negligent, I am responsible for loss you suffer that was a foreseeable result. I am not responsible for loss that was not foreseeable. I am not responsible for any loss of business or profit, because you are buying for personal use.

10.4

Business customers. I am not liable for any of the following, whether the claim is in contract, negligence or otherwise: loss of profit, revenue, business, contracts or goodwill; loss or corruption of data, project files or output; delay or missed deadlines; or any indirect or consequential loss.

10.5

Business customers. Subject to section 10.1, my total liability to you for all claims connected with the Software is limited to the price you paid for the licence that the claim relates to.

10.6

You are responsible for backing up your projects and files, and for saving your work regularly, before and while you use the Software.

10.7

I am not responsible for Adobe’s software or for changes Adobe makes that stop the Software working. This does not limit your rights under section 9.4.

11. Your information

11.1

I use your name, email address and purchase details to deliver and support the Software, to manage activation, and to meet legal and tax duties.

12. Changes to these terms

12.1

I may update these terms, for example when the law changes. The version in force when you buy applies to your licence, and the version number and date are at the top. Later changes will not reduce your rights under a licence you have already bought, except where I need to make them to comply with the law.

13. General

13.1

These terms, together with the information shown at checkout, are the whole agreement between us about the Software. This does not affect your legal rights.

13.2

If a court decides that part of these terms cannot be enforced, the rest still applies.

13.3

If I do not enforce a right straight away, I can still enforce it later.

13.4

No one other than you and me has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

13.5

I may transfer my rights and duties under these terms to another person or business, for example if I sell or incorporate my business, as long as this does not make your licence worse. You may not transfer yours without my written agreement.

13.6

I am not responsible for a delay or failure caused by events outside my reasonable control.

14. Governing law and courts

14.1

These terms, and any dispute connected with them, are governed by the law of England and Wales. If something goes wrong, please contact me first. I would like to resolve it informally.

14.2

If you are a business customer, the courts of England and Wales have exclusive jurisdiction.

14.3

If you are a consumer, you can bring a claim in the courts of England and Wales or, if you live in Scotland or Northern Ireland, in the courts of the part of the UK where you live. If you live elsewhere in the UK, I can only bring a claim against you in the courts of the place where you live.
